We strive to maintain website availability but do not guarantee uninterrupted access. Scheduled maintenance, technical issues, or circumstances beyond our control may result in temporary unavailability. We will provide advance notice of scheduled maintenance where possible.
All content on the SmartPath AI website — including text, graphics, logos, icons, images, audio clips, data compilations, and software — is the property of SmartPath AI or its content suppliers and is protected by United States and international intellectual property laws.
We grant you a limited, non-exclusive, non-transferable, revocable license to access and use our website for your personal, non-commercial evaluation of our services. This license does not include the right to copy, modify, distribute, sell, or lease any content from our website.
Intellectual property rights in deliverables created under separate service agreements are governed by those agreements. Unless otherwise specified in a signed service agreement, custom AI systems, models, and architectures developed for clients become the property of the client upon full payment.
Any feedback, suggestions, or ideas you provide about our services may be used by SmartPath AI without restriction or compensation. By submitting feedback, you grant us a perpetual, worldwide, royalty-free license to use such feedback for any purpose.
You may use our website and services for lawful purposes consistent with these Terms and all applicable laws and regulations. You agree to use our services in good faith and in a manner consistent with their intended purpose.
You may not use our website or services to: transmit spam or unsolicited communications; attempt to gain unauthorized access to our systems or third-party systems; upload or transmit malicious code, viruses, or other harmful software; scrape or harvest content from our website using automated tools; impersonate SmartPath AI or any other person or entity; or engage in any activity that violates applicable law.
Use of our enterprise AI services is further governed by your service agreement. You may not use our AI systems to process data in violation of applicable law, to discriminate unlawfully, or for purposes that create unreasonable risk of harm to individuals or communities.
We understand that enterprise AI discussions often involve sensitive business information. Information shared with SmartPath AI during consultations, discovery processes, and service engagements is treated as confidential and will not be disclosed to third parties without your consent.

Confidentiality obligations do not apply to information that is or becomes publicly known through no fault of SmartPath AI, is independently developed by us without reference to your confidential information, or is required to be disclosed by law or court order.
Fees for professional services are set forth in individual service agreements or statements of work. All fees are in US dollars unless otherwise specified. Invoices are due within the payment terms stated in your service agreement.
Amounts not paid within the agreed payment period may be subject to a late payment charge of 1.5% per month (or the maximum rate permitted by law, if lower). SmartPath AI reserves the right to suspend services for accounts with outstanding unpaid invoices.
Where service agreements provide for expense reimbursement, expenses will be billed at cost with supporting documentation. Travel and accommodation expenses require pre-approval for amounts exceeding agreed thresholds.
The SmartPath AI website and its content are provided "as is" without warranties of any kind, either express or implied. We disclaim all warranties including implied warranties of merchantability, fitness for a particular purpose, and non-infringement.
AI systems, including autonomous agents, involve inherent uncertainty. While we design systems to meet agreed performance specifications, we do not warrant that AI systems will be error-free, will meet all business requirements, or will achieve specific business outcomes. Enterprise deployments should include appropriate human oversight.
To the maximum extent permitted by applicable law, SmartPath AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of our website or services. Our total liability for any claim arising out of or related to our services shall not exceed the fees paid by you in the twelve months preceding the claim.
These Terms shall be governed by and construed in accordance with the laws of the State of Texas, United States, without regard to its conflict of law provisions.
Any dispute arising out of or relating to these Terms or our services shall first be subject to good-faith negotiation between the parties. If negotiation fails, disputes shall be resolved by binding arbitration administered by the American Arbitration Association under its Commercial Arbitration Rules.
To the extent permitted by law, you agree to resolve disputes with SmartPath AI on an individual basis and waive any right to participate in class action litigation or class-wide arbitration.
Our website is accessible globally, but our services are primarily directed at enterprise clients in the United States. If you access our website from outside the United States, you are responsible for compliance with your local laws and regulations.
Our AI services and any associated technology may be subject to US export control laws and regulations. You agree to comply with all applicable export laws and not to transfer our services or technology to prohibited destinations or persons.
